These Terms and Conditions apply to all services provided by Reactance Power Engineering, an independent engineering consultancy based in Belgium.
Services include, but are not limited to, power system studies, technical analysis, design support, and advisory services.
A contract is formed upon written acceptance of an offer by the client, including acceptance via email.
All offers are valid for 30 days unless stated otherwise. Any modifications or deviations require written agreement.
Fees are defined in the offer or agreement.
Invoices are payable within 14 days from the invoice date, unless otherwise agreed in writing.
In case of late payment, interest and compensation may be applied in accordance with applicable Belgian law.
The client shall provide all necessary information, data, and materials required for the execution of the services in a timely and accurate manner.
The client is responsible for the completeness and correctness of all information provided.
Delays caused by the client may result in adjusted timelines and additional costs.
Deliverables are deemed accepted unless the client provides written notice of substantial defects within 5 business days of delivery.
Minor comments or revisions do not constitute grounds for rejection.
Services are performed with reasonable skill and care in accordance with accepted industry standards.
Liability is limited to direct damages resulting from proven fault.
To the extent permitted by law, total liability shall not exceed the value of the relevant contract.

Nothing in these Terms excludes liability in cases of fraud, willful misconduct, or gross negligence.
All analyses, calculations, and recommendations are based on available information and stated assumptions.
The client remains solely responsible for implementation, execution, and compliance with applicable laws and regulations, unless explicitly agreed otherwise in writing.
All deliverables remain the intellectual property of Reactance Power Engineering until full payment has been received.
Upon payment, the client receives a non-exclusive right to use the deliverables for the agreed purpose.
Reuse, modification, or application to other projects requires prior written consent.
Both parties agree to treat all confidential information as strictly confidential and not to disclose it to third parties, except where necessary for the execution of the services or required by law.
Either party may terminate the agreement in writing.
The client shall compensate all services performed up to the termination date.
These Terms and Conditions are governed by Belgian law.
Any disputes shall fall under the jurisdiction of the competent courts of Antwerp (division Mechelen).
